{"id":6393,"date":"2022-09-01T20:50:46","date_gmt":"2022-09-01T18:50:46","guid":{"rendered":"https:\/\/vbbabogados.com\/?p=6393"},"modified":"2023-05-02T20:20:53","modified_gmt":"2023-05-02T18:20:53","slug":"tractes-preliminars-entre-comprador-i-venedor-el-contracte-darras","status":"publish","type":"post","link":"https:\/\/vbbabogados.com\/ca\/blog\/tractes-preliminars-entre-comprador-i-venedor-el-contracte-darras\/","title":{"rendered":"Tractes preliminars entre comprador i venedor: el contracte d&#8217;arras"},"content":{"rendered":"<p>El primer pas de la futura compravenda d&#8217;un immoble sol ser el contracte d&#8217;arras, el document en qu\u00e8 es recull el comprom\u00eds mutu de comprador i venedor i en el qual han de quedar clarament especificades quines s\u00f3n les condicions b\u00e0siques d&#8217;aquesta futura compravenda.<\/p>\n<p>El contracte d&#8217;arras \u00e9s un document privat que consisteix a reservar a favor del futur comprador un dret sobre la compra de l&#8217;immoble, entregant per a aix\u00f2 una quantitat de diners al venedor, i penalitzant al comprador o al venedor si trenquen aquest acord.<\/p>\n<p>Les dades fonamentals que ha de contenir el contracte d&#8217;arras s\u00f3n totes les dades que apareixeran en el futur contracte de compravenda:<\/p>\n<ul>\n<li>Identificaci\u00f3 exacta de l&#8217;immoble: incloent la seva descripci\u00f3 f\u00edsica i registral; els seus annexos (garatge, trasters, terrasses, jard\u00ed&#8230;); si inclou l&#8217;\u00fas privat d&#8217;algun element comunitari; aix\u00ed com les dades del Registre de la Propietat, dades del Cadastre, i n\u00famero de la C\u00e8dula d&#8217;Habitabilitat en cas de tractar-se d&#8217;un habitatge (de la qual hauria de lliurar-se una c\u00f2pia).<\/li>\n<li>Ha d&#8217;expressar-se si l&#8217;immoble est\u00e0 lliure o no d&#8217;ocupants o arrendataris i si pesa alguna c\u00e0rrega o gravamen sobre el mateix (hipoteques, embargaments&#8230;,), establint-se com es lliuraran aquestes c\u00e0rregues abans de la compra final i qui pagar\u00e0 les despeses d&#8217;aquesta cancel\u00b7laci\u00f3.<\/li>\n<li>Preu final i forma de pagament.<\/li>\n<li>Termini m\u00e0xim per formalitzar la compravenda i otorgament d&#8217;escriptura p\u00fablica.<\/li>\n<li>Pactes sobre distribuci\u00f3 de despeses en la compravenda, per exemple: IBI de l&#8217;any en curs, quotes comunit\u00e0ries ordin\u00e0ries, derrames extraordin\u00e0ries acordades o pendents d&#8217;aprovaci\u00f3 per la comunitat.<\/li>\n<li>Quantitat que es lliura en concepte d&#8217;arras, en garantia del comprom\u00eds adquirit, mencionant expressament que totes les quantitats lliurades es descomptaran del preu final, especificant si es tracta d&#8217;arras confirmat\u00f2ries, penals o penitencials. En cas de tractar-se d&#8217;un habitatge d&#8217;obra nova, a aquesta quantitat s&#8217;ha d&#8217;afegir el 10% d&#8217;IVA, que ha de figurar degudament desglossat. Les segones o posteriors transmissions estan gravades per l&#8217;Impost de transmissions patrimonials.<\/li>\n<li>Es pot incloure tamb\u00e9 qui es far\u00e0 c\u00e0rrec dels honoraris de l&#8217;agent de la propietat immobili\u00e0ria o empresa comercialitzadora de l&#8217;immoble.<\/li>\n<\/ul>\n<p>Les arras es paguen en el moment de la firma del contracte d&#8217;arras i quant a la forma de pagament dep\u00e8n del que pactin les parts, si b\u00e9, la recomanaci\u00f3 \u00e9s pagar sempre amb xec bancari nominatiu a favor del propietari de l&#8217;immoble, per assegurar la solv\u00e8ncia del comprador i la identitat del destinatari final del pagament, aix\u00ed com poder acreditar el pagament si fos prec\u00eds en un futur.<\/p>\n<p>En cas que es tracti d&#8217;un matrimoni en r\u00e8gim de guanys s&#8217;entendr\u00e0 que el c\u00f2njuge que signa els fa en nom de la seva societat de guanys, ja que existeix una presumpci\u00f3 legal de guanancialitat dels b\u00e9ns adquirits durant el matrimoni. En el sup\u00f2sit de matrimoni en r\u00e8gim de separaci\u00f3 de b\u00e9ns o parelles no casades, han de compar\u00e8ixer tots dos a la signatura del contracte per ser aix\u00ed cotitulars dels drets que emanen d&#8217;aquest.<\/p>\n<h2>Qu\u00e8 passa si es trenca el contracte i no es formalitza l&#8217;escriptura de compravenda?<\/h2>\n<p>En el cas m\u00e9s habitual, que ens trobem davant d&#8217;un document d&#8217;arras penitencials, el futur comprador es compromet a adquirir l&#8217;habitatge en el termini i pel preu estipulats en dit contracte, si b\u00e9 pot desistir l\u00edcitament de la compra (perqu\u00e8 ja no li interessi l&#8217;adquisici\u00f3) perdent la quantitat entregada.<\/p>\n<p>El venedor tamb\u00e9 pot desistir de la venda, en quin cas, com a penalitzaci\u00f3, haur\u00e0 de tornar per duplicat la quantitat rebuda com a arras.<\/p>\n<p>\u00c9s necessari reflectir en el contracte que les arras es configuren com a penitencials, contemplant la possibilitat de resoldre el comprom\u00eds perdent el comprador la quantitat entregada o retornant-la el venedor per duplicat, en funci\u00f3 de qui sigui imputable el desistiment, q\u00fcesti\u00f3 aquesta que ha donat i d\u00f3na lloc a nombrosos litigis i jurisprud\u00e8ncia dels tribunals, per la qual cosa sempre \u00e9s recomanable comptar amb un bon assessorament legal abans de procedir a la signatura d&#8217;un contracte d&#8217;arras.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>El primer pas de la futura compravenda d&#8217;un immoble sol ser el contracte d&#8217;arras, el document en qu\u00e8 es recull el comprom\u00eds mutu de comprador i venedor i en el qual han de quedar clarament especificades quines s\u00f3n les condicions b\u00e0siques d&#8217;aquesta futura compravenda.
